Acceptance of Terms

Access to and use of the Convex Robótica platform — including the public website, Client Area, Nexa M1 assistant, Nexa Vision and Niros app — are conditional upon reading and full acceptance of these Terms of Use. By browsing, creating an account or using any platform feature, you declare that you have read, understood and agreed to all conditions herein, as well as the Privacy Policy incorporated by reference. If you do not agree with any provision, you must immediately stop using the services. Convex Robótica reserves the right to modify these Terms at any time, and continued use after publication of changes constitutes acceptance of the current version.

About Convex-Robótica

Convex-Robótica is a scientific and technological research and development company, dedicated to creating solutions in robotics, artificial intelligence, computer vision, language models, remote sensing, autonomous systems and automation. Convex-Robótica's work involves the development of software, hardware, embedded systems, artificial intelligence platforms and technologies applied to the physical world, focusing on the integration between perception, data interpretation, decision-making and action by robotic systems. Its technologies may be applied to different sectors, including agriculture, livestock, industry, mining, logistics, security, oil and gas, forestry and the environment.

Scope and nature of services

Convex Robótica provides, among other features, Nexa M1 — an AI assistant for natural-language queries on agriculture, livestock, industry, environment, robotics, drones, legislation, weather and commodities — and Nexa Vision — a module for analysis and interpretation of remote sensing and satellite image data, capable of generating vigor maps, spectral indices (NDVI, NDRE, GNDVI, SAVI, EVI, NDMI, NDWI, NBR), time series and technical reports. The platform may also offer the Niros app, authenticated account features, data storage, map integrations, payments and external APIs. Services are provided as decision-support tools and do not replace professional technical analysis, on-site inspection or judgment by qualified professionals. Generated results do not guarantee productivity, safety, definitive diagnosis or specific operational outcomes.

Registration, account and authentication

To access features requiring identification, the user must create an account through the platform authentication system, which uses Supabase Auth as the identity provider. Registration may be done with social login (Google, Microsoft or Facebook) or email and password, according to the methods available in the interface. The user is solely responsible for maintaining credential confidentiality, for all activities occurring in their account and for notifying Convex immediately of any unauthorized access. Convex may refuse, suspend or cancel registrations that present false, incomplete information or that violate these Terms.

Eligibility and user responsibility

The platform is intended for legally capable individuals and duly established legal entities. Minors should not use the services without representation or assistance from a legal guardian, as required by applicable law. By using the platform, the user declares legal capacity to contract, that they have provided truthful and up-to-date information and that they will not use the services for illegal, fraudulent purposes or in breach of good faith and third-party rights. The user is fully responsible for their operations, decisions and for any content they enter, submit or generate through the platform, including area data, crops, coordinates, photographs and operational descriptions.

Plans, subscription, billing, renewal and cancellation

Convex may offer paid plans with different access levels, features, usage limits and prices, which will be presented to the user before contracting. Prices, payment methods and adjustment conditions will be informed in advance and may be updated with reasonable prior notice. Subscriptions, when applicable, renew automatically at the end of each billing period unless the user cancels beforehand. Cancellation may be performed at any time through the account interface or the contact channel, and access to paid features will remain until the end of the already-paid period. Proportional refunds will not be issued unless expressly required by law. Convex may suspend access in case of default, unjustified chargeback or billing failure.

Use of Nexa M1

Nexa M1 is an AI assistant that answers natural-language questions on topics related to the sectors served by Convex Robótica. Responses are generated based on language models, training data and, when applicable, operational context available in the user account, such as monitored area data, previous analyses, weather and commodity prices. Responses should not be interpreted as definitive technical advice, financial recommendation, legal opinion or mandatory operational instruction. The user should not make critical decisions — involving safety, health, physical integrity, significant investments or regulatory compliance — based exclusively on Nexa M1 responses without independent verification. Conversation history and usage metadata may be stored for service operation, security and continuous improvement.

Use of Nexa Vision

Nexa Vision performs analysis and interpretation of remote sensing and satellite image data for rural, industrial and territorial areas. The service uses sources such as Sentinel/Copernicus and other geospatial data providers, as available, to generate vigor maps, spectral indices (NDVI, NDRE, GNDVI, SAVI, EVI, NDMI, NDWI, NBR), time series and technical reports. Results depend on the quality, resolution and frequency of input data, atmospheric conditions at capture time, cloud cover and satellite revisit frequency. Nexa Vision analyses do not replace field surveys, laboratory sampling or diagnosis by qualified professionals. Generated reports, maps and images may be stored on the platform for authenticated history access.

Satellite data, remote sensing and external sources

Analysis services may use data from satellite constellations and external services, including the European Space Agency's Copernicus/Sentinel programme, weather services, location and commodity pricing APIs. These data are provided by third parties and subject to each original provider's terms, privacy policies and availability conditions. Convex does not control the continuity, accuracy, temporal or spatial resolution or geographic coverage of these external sources. The presence of an integration does not imply that all data are available in all regions or at all times. The user acknowledges that remote sensing data are inherently subject to capture, processing and interpretation limitations.

Reports, analyses, recommendations and technical limitations

Reports, maps, spectral indices, time series and any analyses generated by the platform constitute decision-support tools and do not replace on-site professional technical assessment. Spectral indices are relative indicators based on reflectance and do not represent absolute measurements of productivity, biomass or soil condition. Time series may contain gaps caused by cloud cover, sensor failures or image unavailability. Recommendations or interpretations generated by the platform are advisory in nature and should be combined with local knowledge, direct inspection and guidance from qualified professionals before decision-making. Convex does not guarantee that results will reflect exact ground conditions at a given time.

Use of artificial intelligence and limitations of generated responses

The platform uses artificial intelligence models to generate textual responses, analyses and interpretations from user-provided data and external sources. AI responses are probabilistic and may contain inaccuracies, omissions, outdated information or interpretations unsuitable for the user's specific context. Convex does not guarantee that responses will be complete, accurate, current or appropriate for every particular situation. The user should not rely exclusively on AI-generated responses for decisions involving personal safety, health, physical integrity, legal compliance, significant financial investments or operations with risk of harm to others. AI may not understand local nuances, specific regulatory contexts or exceptional conditions not present in its training data.

Data entered, submitted or generated by the user

The user maintains full responsibility for data they enter, submit or generate through the platform, including texts, images, coordinates, area geometries, crop information, operational records and any other content. The user declares they have the right or legitimate authorization to use and share such data, and that providing them does not violate third-party rights, contractual obligations or applicable legal provisions. Convex may process user data to operate services, generate analyses and reports, and maintain platform functionality, as described in the Privacy Policy and these Terms. The user is solely responsible for backing up data considered essential for their operations.

Convex intellectual property

All content available on the platform — including texts, images, logos, interfaces, source code, algorithms, AI models, design, trademarks, trade names, system architecture, workflows and the general organization of Nexa M1 and Nexa Vision services — is owned by Convex Robótica or its licensors and is protected by intellectual property laws, copyright and other applicable legislation. References to technical terms, spectral index acronyms or public remote sensing programmes do not imply affiliation, endorsement or connection with the original organizations of those programmes.

Platform usage license

Convex grants the user a limited, personal, non-transferable, non-exclusive and revocable license to access and use the platform solely for personal or internal purposes within their professional activity, in compliance with these Terms. This license does not include the right to copy, modify, distribute, sell, resell, reverse engineer, decompile or create derivative works from any part of the platform, its algorithms, models or content without prior written authorization. Unauthorized use may result in immediate suspension or termination of the license and access, without prejudice to applicable legal measures.

Acceptable use and prohibited conduct

The user agrees to use the platform only for lawful, ethical purposes compatible with its declared purpose. The following conduct is expressly prohibited: using services for illegal, fraudulent, discriminatory purposes or that violate third-party rights; attempting to access, breach, compromise or circumvent platform or other user security mechanisms; distributing malware, viruses, malicious code or any harmful content; submitting false, misleading data or impersonating others; using the platform to develop products or services that directly compete with Convex services; performing scraping, data mining or automated content extraction without prior written authorization; or attempting to degrade, overload or interfere with shared infrastructure operation.

Integrations, APIs and third-party services

The platform may integrate with third-party services for authentication (Supabase Auth), data storage (Supabase), payment processing, maps and geolocation (Mapbox, Google Places), weather data (INMET), remote sensing (Sentinel Hub/Copernicus), natural language processing and AI models, WhatsApp communication, among others necessary for feature operation. Each third-party service operates under its own terms, privacy policies and usage conditions, which the user must know and accept when applicable. Convex is not responsible for the operation, availability, accuracy, data policies or practices of third-party services. The presence of an integration does not imply endorsement, exclusive partnership or control over the integrated service.

Availability, maintenance, interruptions and service evolution

Convex makes efforts to keep the platform continuously available but does not guarantee uninterrupted availability, absence of errors, freedom from interruptions or vulnerabilities. Interruptions may occur due to scheduled maintenance, system updates, infrastructure failures, third-party attacks, external events or discontinuation of third-party services on which the platform depends. Convex may perform maintenance, updates and improvements at any time, which may temporarily or permanently alter existing features. Service evolution may include addition, modification or removal of features, and Convex will not be liable for impacts from good-faith changes communicated when technically feasible.

Account security and credentials

The user is responsible for protecting their access credentials, devices and connections used to access the platform. Convex employs technical and organizational measures to protect data and account integrity, including authentication, authorization, input validation, concurrency control and usage limits, but no system is immune to failures or attacks. The user must immediately notify Convex of any unauthorized use of their account or any other security breach they become aware of. Convex will not be liable for losses or damages resulting from improper credential sharing or unauthorized access attributable to user negligence.

Suspension, restriction and termination of access

Convex may, at its discretion and without prior notice when necessary to protect the platform or third parties, suspend, restrict or terminate user access in case of violation of these Terms, misuse, fraud, illegal activity, default, risk to platform security or integrity, or when required by competent authorities. Termination does not exempt the user from obligations assumed during the term. After termination, the usage license ceases immediately and the user must cease all access and use of the platform. Stored data may be retained for the period necessary to comply with legal, tax or security obligations, or deleted according to the Privacy Policy.

Limitation of liability

To the maximum extent permitted by applicable law, Convex Robótica shall not be liable for indirect, incidental, consequential damages, lost profits, data loss, loss of business opportunity, crop loss, production loss or any damages arising from use or inability to use the platform, including communication failures, transmission errors, service interruptions, unauthorized access or service modifications. Convex's total liability, in any circumstance, is limited to the amount effectively paid by the user for services directly related to the fact giving rise to the damage, in the twelve months prior to the event, or the maximum amount permitted by law, whichever is less.

Absence of warranties

The platform is provided as-is and as available, without express or implied warranties of any kind, beyond those established in these Terms or required by mandatory legislation. Convex does not guarantee that the platform will meet all user needs, will operate without interruptions or errors, that obtained results will be accurate, reliable or fit for a specific purpose, or that AI-generated responses will reflect exact ground, operational or market conditions. There is no guarantee that vulnerabilities will be fixed within a specific timeframe or that all third-party integrations will remain available indefinitely.

Responsibility for operational decisions

Convex Robótica services function as decision-support tools and do not replace professional technical analysis, on-site inspection, laboratory diagnosis or judgment by qualified professionals. Agricultural decisions based on spectral indices, industrial decisions guided by platform analyses, robotics and drone operations, input applications, crop management, financial, legal or safety decisions based wholly or partially on platform information are the sole responsibility of the user. Convex is not liable for losses, damages, prejudice or adverse results from decisions made based on reports, maps, analyses or responses generated by the platform, even if the possibility of such damages has been communicated.

Agriculture, industry, robotics and physical operations

The platform may be used in contexts involving real physical operations, including precision agriculture, drone spraying, input application, crop management, livestock, industrial processes, robotics, automation and logistics. The user acknowledges that remote sensing results, AI analyses and platform recommendations do not dispense with operational safety procedures, compliance with technical standards, adequate operator training and respect for current legislation on drones, robotics, agricultural defence, environment and occupational safety. Convex does not operate the user's physical equipment, does not control field conditions and does not execute real operations. The user fully assumes the risks of their physical operations and the consequences of decisions based, even partially, on platform information.

Indemnification

The user agrees to indemnify, defend and hold harmless Convex Robótica, its directors, employees and partners from any claims, demands, actions, damages, losses, expenses and costs — including reasonable attorneys' fees — arising from: use of services in breach of these Terms; violation of third-party rights, including intellectual property, privacy and personal data; data entered, submitted or generated by the user that is false, illegitimate or illegal; or violation of applicable laws, regulations or rights. Convex reserves the right to assume exclusive defence of any indemnifiable claim, in which case the user will cooperate in good faith with the defence.

Changes to services and Terms

Convex may modify services at any time, adding, changing or removing features, resources, integrations or usage limits, in whole or in part, with prior notice when technically feasible and proportionate. Similarly, these Terms may be updated to reflect service changes, new features, legal obligations or best practices. Material changes will be communicated with reasonable advance notice through the platform or registered email. The last update date displayed at the bottom of this page identifies the current version. Continued platform use after publication of changes constitutes acceptance of the new Terms. If the user disagrees with the modifications, they may terminate their account and cease using the services.

Term and termination

These Terms enter into force when the user accepts their first version and remain applicable while the user accesses or uses the platform, unless earlier terminated. The user may terminate at any time by closing their account and ceasing to use the services. Convex may terminate these Terms and user access at any time, with prior notice when applicable, or immediately in case of serious violation, fraud, illegal activity or security risk. Provisions that by their nature should survive termination — including limitation of liability, intellectual property, indemnification and applicable law — remain in full force after closure.

Applicable law

These Terms are governed by the laws of the Federative Republic of Brazil. Any controversies, disputes or claims relating to these Terms or platform use shall be settled in the court of the district where Convex Robótica maintains its main headquarters, unless mandatory legal provision to the contrary or a valid arbitration clause when applicable. The parties shall endeavour to resolve any controversies in good faith and through direct dialogue before resorting to the Judiciary.
